1. AGREEMENT TO TERMS

By accessing or using sacredwomaninstitute.com (the "Site"), purchasing any product or service offered by Sacred Woman Institute LLC, or engaging with any content, program, or communication from Sacred Woman Institute, you agree to be bound by these Terms of Use in their entirety. If you do not agree to these terms, please do not use the Site or engage with our services or products.

2. WHO WE ARE

Sacred Woman Institute LLC is a Connecticut limited liability company owned and operated by Emyluz Delmar Riva, based in Westport, Connecticut, USA. Sacred Woman Institute provides wellness coaching, somatic embodiment coaching, energy healing (including Reiki), Kundalini yoga instruction, stretch coaching, breathwork, meditation, tantra-informed wellness education, Taoist philosophy-based wellness practices, women's personal development coaching and education, and related wellness services and products, whether delivered in person, virtually, or through digital or physical formats. References to "we," "us," or "our" refer to Sacred Woman Institute LLC and Emyluz Delmar Riva. References to "you" or "user" refer to any person accessing the Site or engaging with our services or products.

3. ELIGIBILITY

This Site and all services, programs, and products offered by Sacred Woman Institute are intended exclusively for adults aged 18 and over. By using this Site or engaging with our services or products, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Sacred Woman Institute reserves the right to refuse service to anyone at any time, for any reason consistent with applicable law.

No content from this Site may be reproduced, distributed, modified, adapted, translated, publicly displayed, publicly performed, republished, transmitted, or commercially exploited in any form or by any means without our express prior written consent. Linking to the Site's homepage for non-commercial purposes is permitted, provided such linking does not misrepresent Sacred Woman Institute, damage our reputation, or imply any endorsement.

Unauthorized use of Sacred Woman Institute's intellectual property may give rise to a claim for damages and/or be a criminal offense.

6. DIGITAL PRODUCTS AND PROGRAMS

Sacred Woman Institute offers digital products and programs, including online courses, digital journals, guided practices, and written materials (collectively, "Digital Products"). By purchasing or accessing a Digital Product, you agree to the following:

–    Digital Products are for your personal, non-commercial use only. You may not share, distribute, resell, or reproduce any Digital Product or its contents in any form.

–    All sales of Digital Products are final unless otherwise stated at the time of purchase. Due to the nature of digital content, refunds are not guaranteed and are issued at the sole discretion of Sacred Woman Institute.

–    Access to Digital Products may be time-limited or platform-dependent. Sacred Woman Institute is not liable for loss of access due to platform changes, account inactivity, or technical issues beyond our control.

–    Digital Products are provided for educational and wellness purposes only and do not constitute medical, psychological, or therapeutic advice. Please refer to the full Disclaimer for detail.

7. PHYSICAL PRODUCTS

Sacred Woman Institute offers physical products including journals and lifestyle merchandise, available through our website, e-commerce platforms, or in-person at our studio. By purchasing a physical product, you agree to the following:

  • All sales are subject to the return and refund policy communicated at the time of purchase. Customized or personalized items are non-refundable.

  • Sacred Woman Institute is not responsible for delays, losses, or damages caused by third-party shipping carriers once a product has been dispatched.

  • Product descriptions are provided in good faith. Sacred Woman Institute makes no warranty that any product is fit for a particular purpose beyond its stated use.

  • Physical products are not medical devices, therapeutic instruments, or substitutes for professional care.

  • Connecticut sales tax will be applied to all physical product sales in accordance with Connecticut law.

  • In-person purchases at the studio are final sale unless the product is defective.

8. IN-PERSON SERVICES

By booking or attending any in-person session or purchasing products at Sacred Woman Institute's studio, you agree to be bound by all terms set forth in the Disclaimer on this Site, including but not limited to the In-Person Sessions -- Premises and Safety provisions. All clients are required to complete a client intake and consent agreement prior to their first in-person session.

9. USER-SUBMITTED CONTENT

If you submit any content to Sacred Woman Institute through contact forms, email, testimonials, reviews, or any other means, you grant Sacred Woman Institute LLC a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, display, reproduce, and share that content for purposes consistent with our services and marketing, unless you explicitly request otherwise in writing prior to submission.

You represent that any content you submit is truthful and accurate, does not infringe on any third-party rights, and is not defamatory, harmful, or misleading. 15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Sacred Woman Institute LLC, Emyluz Delmar Riva, and their respective heirs, successors, and assigns from and against any and all claims, liabilities, damages, losses, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site, services, or products; (b) your violation of these Terms of Use; (c) your violation of any applicable law or regulation; (d) any content you submit to Sacred Woman Institute; or (e) any injury, damage, or loss arising from your own actions or omissions in connection with Sacred Woman Institute's services or products.

17. DISPUTE RESOLUTION AND ARBITRATION

In the event of any dispute, claim, or controversy arising from or related to these Terms of Use, the Site, or any service or product offered by Sacred Woman Institute, the parties agree to first attempt to resolve the dispute informally by contacting Sacred Woman Institute at emyluz@sacredwomaninstitute.com. If the dispute cannot be resolved informally within thirty (30) days, the parties agree to submit to final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with one arbitrator, conducted in Fairfield County, Connecticut.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines that a claim was frivolous, in which case the arbitrator may award fees to the prevailing party.

CLASS ACTION WAIVER: You expressly waive any right to bring or participate in any class action lawsuit, class-wide arbitration, or any other representative proceeding against Sacred Woman Institute. All disputes must be brought solely in your individual capacity.

18. GOVERNING LAW AND JURISDICTION

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Connecticut, USA, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Fairfield County, Connecticut, and you hereby consent to the exclusive personal jurisdiction of those courts.

19. SEVERABILITY

If any provision of these Terms of Use is found to be invalid, unlawful, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms of Use. The remaining provisions shall continue in full force and effect and shall not be affected by any such modification or severance.

20. WAIVER

No waiver by Sacred Woman Institute of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Sacred Woman Institute to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

21. ENTIRE AGREEMENT

These Terms of Use, together with our Disclaimer and Privacy Policy, constitute the entire agreement between you and Sacred Woman Institute LLC regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral. Service-specific agreements, including client coaching contracts and purchase agreements, are governed by their own separate terms and are incorporated by reference where applicable.

22. CHANGES TO THESE TERMS

Sacred Woman Institute reserves the right to update these Terms of Use at any time without prior notice. When we do, we will update the effective date at the top of this page. Your continued use of the Site or engagement with our services or products after any changes constitutes your acceptance of the updated Terms.
